TERMS & CONDITIONS

NYMIX TECH · SOFTWARE LICENSE AGREEMENT

⚠️ Please read these terms carefully before accessing or using the NYMIX Hardware Management Platform.

1. ACCEPTANCE OF TERMS

By accessing or using the NYMIX Hardware Management Platform ("Platform"), you agree to be bound by these Terms and Conditions. If you do not agree, you must not access or use the Platform. These terms apply to all users including administrators, business owners, and staff members.

2. LICENSE & ACCESS

NYMIX TECH grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business operations. You may not sublicense, resell, or transfer access to any third party without prior written consent from NYMIX TECH.

3. SUBSCRIPTION & BILLING

Access to the Platform is provided on a subscription basis. Subscription fees are billed as agreed upon during onboarding. NYMIX TECH reserves the right to suspend access upon non-payment. A grace period may be granted at NYMIX TECH's sole discretion. All fees are non-refundable unless otherwise agreed in writing.

4. DATA OWNERSHIP & PRIVACY

All business data entered into the Platform (products, sales, customers, inventory) remains the property of the subscribing business. NYMIX TECH will not sell, share, or disclose your data to third parties without your consent, except as required by law. You are responsible for maintaining the confidentiality of your login credentials.

5. ACCEPTABLE USE

You agree not to use the Platform for any unlawful purpose, to attempt to gain unauthorized access to any part of the Platform, to reverse engineer or copy any portion of the software, or to introduce malicious code or interference of any kind. Violation of these terms will result in immediate termination of access.

6. UPTIME & AVAILABILITY

NYMIX TECH aims to maintain high availability of the Platform but does not guarantee uninterrupted access. Scheduled maintenance, updates, or unforeseen technical issues may cause temporary downtime. NYMIX TECH shall not be liable for any losses arising from service unavailability.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law, NYMIX TECH shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of revenue, data loss, or business interruption. NYMIX TECH's total liability shall not exceed the subscription fees paid in the preceding 3 months.

8. TERMINATION

Either party may terminate the subscription with 30 days written notice. NYMIX TECH may terminate immediately for breach of these terms. Upon termination, your access will be revoked and you may request an export of your data within 14 days.

9. CHANGES TO TERMS

NYMIX TECH reserves the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the revised terms. We will notify active subscribers of material changes via email or in-platform notification.

10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.
